For End-Users, we act as a Processor of data, and our Client (you) is the Controller of that data. Our use of End-User data is governed by our contractual agreement (Terms of Service and/or Data Processing Addendum) with you.


2. Information We Collect

We collect information directly from you, automatically through your use of the Services, and from third-party sources.

A. Client and Website Data (Collected Directly from You)

We will not sell, rent, or trade your Personal Information. We share data only in the following circumstances:

  • Service Providers (Sub-Processors): We share data with third-party vendors who perform services on our behalf, such as cloud hosting providers (e.g., AWS, Google Cloud), payment processors, and customer relationship management (CRM) software. These parties are contractually obligated to protect your data.

  • With Your Consent/Direction: We share End-User data with third parties at your direction (e.g., integrating lead data directly into your designated CRM system).

  • Business Transfers: If we are involved in a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction. We will notify you of any such change in ownership.

  • Legal Obligation: We may disclose information if required to do so by law, subpoena, or if we believe in good faith that such action is necessary to comply with a legal request or protect the rights, property, or safety of Pro RevOps Ai or others.

We retain Personal Data only for as long as necessary to fulfill the purposes outlined in this Privacy Policy, or as otherwise required by law (e.g., tax records). Client data is deleted upon account termination, subject to a reasonable wind-down period and any overriding legal obligations.

These Terms of Service ("Terms") govern your use of the AI-powered Revenue Operations platform and services provided by Pro RevOps Ai Professional Limited Liability Company ("Company," "we," "us," or "our").


1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Services and Access

2.1 Service Description

Pro RevOps Ai provides subscription-based access to AI-powered agents (including "Grace" and "Frank") for the purpose of revenue operations, lead capture, qualification, appointment setting, and automated communication across voice, chat, and social channels.

2.2 License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject strictly to these Terms.

2.3 Modifications

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) with or without notice at any time.

3. Client Obligations and Conduct

3.1 Lawful Use

You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations, including but not limited to telecommunications, data privacy (e.g., TCPA, GDPR, CCPA), and consumer protection laws.

3.2 Client Data

You are solely responsible for the accuracy, legality, and appropriateness of all data, information, and content (including customer contact lists) provided by you or collected by the AI agents on your behalf ("Client Data").

3.3 Prohibited Conduct

You agree not to use the Services:

  • To engage in harassment, spamming, phishing, or any form of abusive behavior.

  • To transmit material that infringes the intellectual property rights of others.

  • To engage in high-risk activities where the failure of the service could lead to death, personal injury, or catastrophic property damage.

4. Billing, Payment, and Termination

4.1 Subscription and Fees

All fees for the Services are set forth on our Pricing page and/or your signed Order Form. Subscriptions are billed on a recurring basis (e.g., monthly or annually). By subscribing, you authorize us to charge your payment method for all applicable fees.

4.2 Overage Charges

Usage exceeding the limits defined in your selected plan will incur additional charges, as specified in your Order Form or our current pricing schedule.

4.3 Cancellation and Refunds

You may cancel your subscription at any time by providing 30 days' written notice, as detailed in our billing policy. Except where expressly stated otherwise in a specific promotional offer or guarantee, all fees paid are non-refundable.

4.4 Termination by Us

We may suspend or terminate your access to the Services immediately if you breach any part of these Terms, including failure to pay fees when due.

5. Intellectual Property

5.1 Our IP

The Service itself, including all design, text, graphics, and underlying software (including the AI models and technology powering Grace and Frank), are and will remain the exclusive property of Pro RevOps Ai and its licensors.

5.2 Client Data Ownership

You retain all ownership rights, title, and interest in and to all Client Data. We are granted a limited, worldwide, non-exclusive license to use, reproduce, and display the Client Data solely as necessary to provide the Services to you.

6. Confidentiality and Data

Both parties agree to maintain the confidentiality of all non-public information received from the other party. We handle all data, including your customer data, in accordance with our Privacy Policy. You agree to review and comply with our Privacy Policy.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PRO REV OPS AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRO REV OPS AI, NOR ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO PRO REV OPS AI FOR THE SERVICES DURING THE SIX (6) MONTHS PRIOR TO THE ACT GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pro RevOps Ai from and against any and all claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any laws or rights of a third party; or (c) your misuse of the Services.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, US, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the District of Columbia to resolve any legal matter arising from these Terms.
